End User License Agreement (EULA)

This End-User License Agreement (“Agreement”) is a legally binding agreement between you (“you”, “User”, or “Customer”) and InvoBill (“INVO”, “we”, “us”, or “our”). It governs your access to and use of the INVO platform, website, and related services (collectively, the “Services”). 

By creating an account, accessing, or using the Services, you confirm that you have read, understood, and agree to be bound by this Agreement. If you are using the Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to this Agreement.  

If you do not agree to these terms, you must not access or use the Services. 

Definitions 

For clarity, the following terms are used throughout this Agreement: 

  • “INVO” means the Invobill software platform, including all features, functionality, updates, and related services. 
  • “User” means any individual authorized to access the Services, including administrators and team members. 
  • “Customer Data” means business data, Invoice data, communications, and other information submitted to or processed through the Services. 
  • “Third-Party Services” means external platforms or services integrated with INVO. 
  • “Financing Services” means any future services Involving Invoice purchasing, Invoice financing, factoring, or cash-advance arrangements that may be offered by INVO or an affiliated entity. 

Eligibility and Account Registration 

You must be legally capable of entering into this Agreement and authorized to act on behalf of your business at the time of signing up for INVO. 

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly if you believe your account has been accessed without authorization or if a security issue occurs. 

What INVO Does (Description of the Services) 

INVO provides tools that help businesses manage their accounts receivable. This includes creating or importing Invoices, tracking Invoice statuses, managing customer communications, managing roles and responsibilities for Account Receivables withing your own team, and accessing analytics related to receivables and cash flow. 

Invoices may be created directly within INVO or imported from supported Third-Party Services, including QuickBooks Online. The Services are provided on an evolving basis. Features may change, improve, or be discontinued as the platform develops. 

Third-Party Integrations 

If you choose to connect Third-Party Services, you authorize INVO to access, process, and store data from those services as necessary to provide the Services. 

INVO does not control Third-Party Services and is not responsible for their availability, accuracy, security, or data practices. Your use of Third-Party Services remains subject to their own terms and policies. 

Future Financing Services 

In future versions, INVO or an affiliated entity may offer optional Financing Services, including the purchase or assignment of Invoices and advance payments against outstanding receivables. 

Participation in any Financing Services will be optional and subject to separate eligibility requirements, pricing, disclosures, and additional agreements. Nothing in this Agreement obligates INVO to offer Financing Services or obligates any User to participate in them. INVO is not a bank, lender, fiduciary, or financial advisor unless expressly stated in a separate written agreement. 

User Responsibilities and Acceptable Use 

You agree to use the Services only for lawful business purposes as they apply in your region. 

You are responsible for ensuring that all Customer Data submitted through the Services is accurate, lawful, and properly authorized. You must not use the Services to engage in fraudulent, misleading, or unlawful activity. 

You may not attempt to reverse engineer, interfere with, disrupt, or misuse the Services. 

Ownership and Intellectual Property 

INVO retains all rights, title, and interest in the Services, including all intellectual property rights. 

You retain ownership of your Customer Data. You grant INVO a limited license to process Customer Data solely for the purpose of providing, maintaining, and improving the Services. 

Data Protection and Privacy 

INVO processes personal data in accordance with its Privacy Policy, which forms part of this Agreement by reference.  

By using the Services, you consent to receiving service-related communications such as system notices, security alerts, and account updates. 

Fees and Payments 

Certain features of the Services may be subject to fees. Pricing, billing cycles, and payment terms will be disclosed before any charges apply. Unless required by law, all fees are non-refundable. 

Disclaimers 

Services are provided on an “as is” and “as available” basis. 

INVO does not guarantee that Invoices will be paid, that collections will occur, or that cash-flow outcomes will improve within any set timeframe. The Services do not provide legal, accounting, tax, or financial advice. You are responsible for obtaining professional advice where required. 

Limitation of Liability 

To the maximum extent permitted by law, INVO will not be liable for indirect, incidental, consequential, or special damages. 

INVO’s total liability related to the Services will not exceed the fees paid by you to INVO in the twelve (12) months preceding the event, giving rise to the claim. 

Indemnification 

You agree to indemnify and hold harmless INVO from any claims, damages, or losses arising from your misuse of the Services, violation of this Agreement, or violation of applicable law. 

Suspension and Termination 

INVO may suspend or terminate your access to the Services if you violate this Agreement or create legal, security, or operational risk. Upon termination, access to the Services will cease. Data handling after termination will follow the Privacy Policy. 

Dispute Resolution 

Before initiating formal legal proceedings, INVO and its users agree to attempt to resolve disputes through good-faith discussions. Either party may propose non-binding mediation. Nothing in this Agreement requires mandatory arbitration or limits access to applicable legal remedies. 

Changes to the Services or This Agreement 

We may update the Services or this Agreement from time to time. Continued use of the Services after changes take effect constitutes acceptance of the updated terms. 

Governing Principles 

This Agreement will be interpreted using generally accepted principles of commercial contract law, without limiting any rights available under applicable consumer protection or data protection laws. 

General Provisions 

If any part of this Agreement is found unenforceable, the remaining provisions will remain in effect. This Agreement represents the entire agreement between you and INVO regarding the Services we offer.
